Any order placed by you with National CEU, LLC, an Oregon limited liability company (“National CEU”), as well as your use of the National CEU website (the “Site”) is subject to these Terms of Use & Sale, and your placement of an order with National CEU and/or your use of the Site constitutes your agreement to the following Terms of Use & Sale.

COPYRIGHT & TRADEMARK NOTICE: The Site and all the products sold and distributed herein are owned and operated by National CEU. All elements, verbiage and design of the Site are the sole property of National CEU. No portion of the Site may be copied, altered, reproduced, modified, republished, uploaded, posted, transmitted, sold, loaned, or distributed in any form or by any means, and no derivative works shall be made of the Site’s contents, without National CEU’s prior written permission. All rights not expressly granted herein are reserved. You agree not to change or delete any proprietary notices from any materials downloaded from the Site. Any unauthorized use of the materials appearing on the Site may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties. All graphics, icons, and logos are property of National CEU. The use of any logos and/or art associated with National CEU and on the Site without our prior written consent is strictly prohibited.

OTHER RESTRICTIONS ON USE: You will not use the Site or its contents for any unauthorized, improper or criminal purpose. You will not place false or misleading information on the Site. You will not input or upload to the Site any information that contains viruses, Trojan horses, worms, time bombs, or any other computer programming routine that is intended to damage, interfere with, intercept or expropriate the Site or its contents.

PRIVACY POLICY: National CEU respects your privacy. We strive to ensure the privacy and accuracy of all of your confidential information. In order for you to purchase products and services that we offer via the Site, it is necessary for you to provide us with certain information that personally identifies you (“Confidential Information”). The Confidential Information may include contact data such as your name, address, and phone number as well as financial data such as your credit card number. We gather this information solely for our own internal purposes. We do not provide or sell any Confidential Information to outside agencies or third parties. We may disclose Confidential Information when we, in good faith, believe that the law requires it or for protection of our legal rights. In addition, Site activity data may be collected and used to improve our Site content and display. If this Site contains links to other websites, then National CEU is not responsible for the privacy practices or contents of other websites.

ORDERS & PAYMENT: To facilitate payment, customers will be given a log-in that will allow you full access to the Site. This log-in may not be shared with any third parties. Payment via the Site may only be made by appropriate credit card and supplying valid credit card information. However, customers may register for live seminars on line and are allowed to choose between prepayment or payment at the live seminar. Payment at the live seminar may include check or cash at the door.

CONFIRMATION: You are not registered for any live seminar unless you receive a confirmation. Without the confirmation you cannot be assured there is space available at a live seminar. Please bring your confirmation with you to the live seminar to ensure your reservation.

CANCELLATION: You may cancel your order and receive a full refund by sending an e-mail to National CEU at info@nationalceu.com within 48 hours of the time of your Order. This right to cancellation maybe exercised only one time by the same person or orders charged to the same credit card number.

LINKS: The Site contains links to other sites owned and operated by third parties. You acknowledge that National CEU is not responsible for the operation of or content located on or through these other sites. The fact National CEU has provided a link to a site is not an endorsement, authorization, sponsorship or affiliation by National CEU of such site.

ORDER ACCEPTANCE POLICY: We reserve the right at any time to accept or decline your order for any reason. National CEU has the right to terminate or restrict your access unilaterally, without notice.

CHANGES AND OTHER TERMS: We reserve the right to make changes, improvements, and updates to any portion of the Site without prior notice. We also reserve the right to change any of the Terms of Use without prior notice. Any and all portions of these terms of use & sale shall automatically apply to any changes, improvements and/or amendments made to the Site. Your continued usage of the Site after any changes have been made constitutes your acceptance of such changes.

INDEMNIFICATION: You agree to indemnify and hold harmless National CEU and its affiliates against any and all claims relating to your use of the Site or any defects resulting from your use and/or application of our products and any claims of intellectual property infringement based upon your order or application of the product.

LIMITATION OF WARRANTY: WE WARRANT THAT THE PRODUCTS SOLD SHALL CONFORM TO THE GRADE AND QUALITY SPECIFIED IN ALL MARKETING MATERIALS PRODUCED BY NATIONAL CEU. THE SITE IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE. NATIONAL CEU ASSUMES NO RESPONSIBILITY FOR ERRORS OR OMISSIONS ON THE SITE OR ANY OTHER WEBSITE WHICH MAY BE REFERENCED OR LINKED TO THE SITE. THE INFORMATION INCLUDED IN THE SITE COULD INCLUDE TECHNICAL OR OTHER INACCURACIES OR TYPOGRAPHICAL ERRORS. IT IS SOLELY YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY, COMPLETENESS AND USEFULNESS OF ALL OPINIONS, ADVICE, SERVICES, AND OTHER INFORMATION PROVIDED THROUGH THE SITE. NATIONAL CEU DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR FREE OR THAT DEFECTS IN THE SITE WILL BE CORRECTED.

LIMITATION OF LIABILITY: OUR MAXIMUM LIABILITY SHALL NOT EXCEED, AND YOUR SOLE REMEDY IS LIMITED TO, A ONE-TIME RECOVERY OF THE AMOUNT OF THE ORDER YOU PAID TO NATIONAL CEU HEREUNDER. IN NO EVENT WILL NATIONAL CEU BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OR LOST PROFITS, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), FRAUD, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THOSE RESULTING FROM LOSS OF USE OR PROFITS, WHETHER OR NOT NATIONAL CEU WAS ADVISED OF THE POSSIBILITY OF DAMAGE, OR UNDER ANY THEORY OF LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, OUR PRODUCTS FURNISHED UNDER THIS SITE.

MISCELLANEOUS TERMS: If your payment for any reason fails to be accepted, you shall be responsible for any collection costs incurred by us, including attorney’s fees. If any action or litigation is brought to enforce our rights, the prevailing party shall be awarded attorney’s fees and costs. National CEU objects to any contrary or additional terms you may submit. These Terms of Sale constitute the complete and final agreement between the parties and supersede any prior oral and written agreements. The Site is created and operated in Oregon and these terms shall be construed according to and governed by the laws of the State of Oregon. The exclusive venue for any litigation resulting from these Terms of Sale or in any way connected to National CEU shall be brought in a state or federal court of competent jurisdiction in Multnomah County, State of Oregon and you irrevocably consent to submit to the exclusive jurisdiction of the courts in the State of Oregon. A waiver of any right, default, or term of these Terms of Sale shall not be deemed to be a continuing waiver or a waiver of any other default or term. Any portion of these Terms that are deemed invalid or unenforceable in any jurisdiction shall not render invalid or unenforceable the remaining Terms or otherwise affect the validity or enforceability of the remaining Terms. You agree that the remedy at law for any breach of these Terms by you would, by its nature, be inadequate, and that in that event National CEU shall be entitled, in addition to damages, to a restraining order, temporary or permanent injunctive relief, specific performance, and other appropriate equitable relief, without showing or providing that any monetary damage has been sustained.
